These Terms of Service ("Terms") govern your use of spyndel.com, app.spyndel.com and any related websites and online services (the "Services") provided by Retry Logix, LLC, a Colorado limited liability company ("Retry Logix", "we", "us"). By using the Services you agree to these Terms. If you use the Services on behalf of an organization, you agree to them on its behalf and confirm you have authority to do so.

Downloading or using Spyndel software is governed by the Spyndel Community Edition License Agreement or by your separate Enterprise agreement with us. If those conflict with these Terms, they control for the software.

You may use the Services only in compliance with these Terms and applicable law. You must give accurate information when you request a download or contact us, and keep any account credentials confidential. You are responsible for activity under your account.

You keep all rights to documents and other content you submit to the Services ("Your Content"). You give us a limited license to host, process and display Your Content only as needed to provide the Services to you. You are responsible for having the rights to submit Your Content. For self-hosted Spyndel, Your Content stays in your own environment and is not sent to us.

4. Our intellectual property

The Services and the Spyndel software, including their code, models, model weights, designs, documentation, names and logos, are owned by Retry Logix or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you, we reserve all rights. "Spyndel" and the Spyndel logo are trademarks of Retry Logix, LLC.

If you send us suggestions or feedback, we may use them without restriction or obligation to you.

6. Third-party services

The Services may let you connect third-party services, such as AI model providers or AI assistants. Your use of those services is governed by their terms, and we are not responsible for them.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. Spyndel organizes and links information automatically and may produce incomplete or incorrect results, including in AI-generated answers. You are responsible for reviewing results before relying on them, particularly for safety, regulatory, legal, medical or financial decisions.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RETRY LOGIX AND ITS MEMBERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AND ONE HUNDRED U.S. DOLLARS.

9. Indemnity

You will defend and indemnify Retry Logix against claims arising from Your Content or your breach of these Terms.

10. Suspension and termination

We may suspend or end your access to the Services at any time if you breach these Terms or if needed to protect the Services. Sections 2 through 5 and 7 through 12 survive termination.

We may update these Terms. We will post the updated Terms here with a new date, and material changes apply from the date posted. Continuing to use the Services means you accept the updated Terms.

12. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. The state and federal courts located in El Paso County, Colorado have exclusive jurisdiction over any dispute relating to the Services, and you consent to their jurisdiction. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.
