Spyndel Community Edition License Agreement

This License Agreement ("Agreement") is between Retry Logix, LLC, a Colorado limited liability company ("Retry Logix"), and you or the organization you represent ("Licensee"). It governs the Spyndel Community Edition software, including its container images, executables, models, model weights, documentation and updates (the "Software"). By downloading, installing or using the Software, Licensee agrees to this Agreement. If Licensee does not agree, it may not download, install or use the Software.
1. License grant
Subject to this Agreement, Retry Logix grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and run the Software, in the object-code form provided, on a single server under Licensee's control, for Licensee's internal business or personal purposes, within the limits in Section 2.
2. Edition limits
The Community Edition may be used with no more than five (5) user accounts and no more than two hundred fifty (250) documents in a single installation. Use beyond these limits, on more than one server, or of features reserved for Spyndel Enterprise requires a separate Enterprise agreement with Retry Logix.
3. Restrictions
Licensee will not, and will not permit anyone else to:
- reverse engineer, decompile, disassemble, decrypt or otherwise attempt to derive the source code, models, model weights, algorithms, data structures or underlying ideas of the Software, except to the extent applicable law expressly permits this despite this restriction;
- extract, copy or use any model, model weights or other component of the Software separately from the Software, or use them to train, develop or improve any other model or product;
- modify, adapt, translate or create derivative works of the Software;
- circumvent, disable or interfere with any license key, edition limit, usage limit or technical protection in the Software;
- sell, rent, lease, lend, distribute, sublicense or otherwise transfer the Software, or make it available to third parties as a hosted, managed or service-bureau offering;
- use the Software to build or support a competing product or service, or publish benchmarks of the Software without Retry Logix's written consent; or
- remove or alter any proprietary notices, labels or marks in the Software.
4. Ownership
The Software is licensed, not sold. Retry Logix and its licensors own all right, title and interest in the Software, including all intellectual property rights, and reserve all rights not expressly granted. Third-party components included in the Software are provided under their own licenses, listed with the Software, and those licenses govern those components.
5. Licensee data
Licensee keeps all rights to the documents and data it processes with the Software ("Licensee Data"). The Software runs in Licensee's environment and does not send Licensee Data to Retry Logix. If Licensee configures a third-party AI provider, data sent to that provider is governed by Licensee's agreement with it. Licensee is responsible for having the rights to process Licensee Data and for backing it up.
6. Updates and support
Retry Logix may provide updates but has no obligation to provide updates, maintenance or support under this Agreement. Updates are governed by this Agreement unless they come with different terms.
7. Feedback
Retry Logix may use any feedback or suggestions Licensee provides without restriction or obligation.
8. Term and termination
This Agreement continues until terminated. It ends automatically if Licensee breaches it, and either party may end it at any time. On termination, Licensee must stop using the Software and delete all copies. Licensee may keep and export its own Licensee Data. Sections 3, 4, 7, 9, 10, 11 and 12 survive termination.
9. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT, OR THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED. THE SOFTWARE ORGANIZES AND LINKS INFORMATION AUTOMATICALLY AND MAY PRODUCE INCOMPLETE OR INCORRECT RESULTS. LICENSEE IS RESPONSIBLE FOR REVIEWING RESULTS BEFORE RELYING ON THEM, INCLUDING FOR SAFETY, REGULATORY, LEGAL, MEDICAL OR FINANCIAL DECISIONS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RETRY LOGIX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THEIR POSSIBILITY. RETRY LOGIX'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
11. Export and compliance
Licensee will comply with all applicable export control and sanctions laws, and will not export, re-export or use the Software in violation of them or for any prohibited end use.
12. General
This Agreement is governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. The state and federal courts located in El Paso County, Colorado have exclusive jurisdiction over any dispute arising from it, except that Retry Logix may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property. Licensee may not assign this Agreement without Retry Logix's written consent. If any provision is unenforceable, the rest remains in effect. This Agreement is the entire agreement about the Community Edition and supersedes prior understandings about it. A waiver is effective only in writing.
